Poison Pills in Japan


The ISS blog has a posting about Japan's Public Pension Fund Association for Local Government Officials. The Fund has joined with the Pension Fund Association to oppose poison pills that are adopted by the board of directors without shareholder approval. According to the Fund's voting guidelines, adoption of poison pills by the board does not take into account the best interests of shareholders.
